Can you lay new sod on top of dead sod?

I was wondering is you can lay new sod on total dead sod ( I know it was sod becuase it has plastic grid stuff laid under it about 1 inch) or must the dead sod be totally removed, including the plasic grid stuff, and dirt I guess reworked? I had a gr man tell me you could just lay it on top? Thanks!
